Learning outcomes

Object of the course.
Within the training path in "Impresa e mercati globali", the course is focused on the current legal regime of listed companies, banks and non-banking financial institutions (so called public interest entities), with a particular focus on their internal organization, on all their related activities and the regulation of securities.
The purpose of the course is to develop the student capable to understanding and manage, at least to an institutional level, the fundamentals of the law of listed companies, banks and other financial institutions.

- La nozione di attività di intermediazione bancaria e la relativa disciplina speciale tra diritto dell’UE e diritto nazionale.
- Le Autorità di vigilanza dell’UE e nazionali. Varie tipologie e strumenti di vigilanza pubblica.
- L’Autorità bancaria europea (EBA) e l’Unione bancaria europea
- La disciplina delle società bancarie.
- Le banche cooperative e le banche popolari.
- Le società bancarie quotate.
- La disciplina dei mercati finanziari e degli intermediari non bancari.
- L’appello al pubblico risparmio e la tutela dei risparmiatori.
- I servizi di investimento e il regime giuridico dei contratti finanziari.
- Le imprese di investimento.
- Gli investitori istituzionali ed il loro ruolo nel sistema dei mercati finanziari.
