Academic calendar
The academic calendar shows the deadlines and scheduled events that are relevant to students, teaching and technical-administrative staff of the University. Public holidays and University closures are also indicated. The academic year normally begins on 1 October each year and ends on 30 September of the following year.

Learning objectives
Adopting a problem-solving approach, the course aims at providing students with the fundamental notions and the method for understanding and interpreting the normative provisions regulating companies, and in particular limited liability companies and cooperatives law. The course will teach students to systematically construe the fundamental legal categories of the field in order to be able to critically identify the evolutive trend that characterize this area of law.

Passing the preparatory exams: - Commercial law or - Commercial law institutions
Program
a) The rules of the Srl: -in depth analysis of the institutional framework; -analysis of the theoretical and operational issues relating to the procedures for exercising the statutory autonomy, as well as the discipline of the transfer of company shares, the suppression of the shareholders 'register, the system of shareholders' loans, the control system and the discipline of the liability of administrators. b.The discipline of cooperative companies: - deepening of the institutional framework; -analysis of the theoretical and operational problems relating to the mutualistic purpose, the cooperative "type" and the spa and srl "models", the financial structure, the withdrawal of the shareholder, the system of corporate controls, the forms of integration between cooperative enterprises. SUGGESTED TEXTS - for students attending the Company Law Course, given the seminar progress of the course, lecture notes will be sufficient; - for students attending the Institutions of Commercial Law course (Degree in Sciences of Legal Services), materials will be offered on the e-learning platform; - for non-attending students, chapters 18 and 19 of GF Campobasso, Commercial Law, 2, Company Law, Utet, ult. and. to be integrated with an in-depth study on cooperative companies and / or srl to be agreed with the teacher and chosen from the books indicated in LEGANTO
- for incoming Erasmus students it will be possible, as an alternative to the previous methods, to agree with the teacher a topic on which to produce a short written paper (thesis) to be discussed during the exam sessions. The written paper and the discussion must be in Italian
Bibliography
Didactic methods
The teaching methods will consist of lectures on the topics covered by the program, with analysis of the provisions and jurisprudence. Furthermore, professionals and / or business operators will be involved in the training initiatives. The lessons of the course will be held in person. The videotaping of the lessons will be available only for students who, during the course delivery period, were unable to participate because they were abroad, for proven health or frailty reasons. These situations will be examined by the teacher.

Evaluation criteria
The exam is aimed at verifying: - the level of knowledge acquired and the ability to connect them; - the ability to reason with regard to legal issues relating to the specific area of the course; - the property of language and the ability to use legal terminology; - analytical and argumentative skills.
Criteria for the composition of the final grade
The final grade is expressed out of thirty and refers to the oral exam taken as a whole

Type D and Type F activities
Le attività che consentono l’acquisizione dei crediti riservati alle attività formative a libera scelta dello studente (TAF D) sono le seguenti:
• Un insegnamento previsto nell’elenco delle attività formative (TAF D) allegato al piano didattico del corso di laurea Magistrale in Giurisprudenza;
• Un insegnamento attivato nei Corsi di studi afferenti al Collegio di Giurisprudenza;
• Un laboratorio didattico attivato nei Corsi di studi afferenti al Collegio di Giurisprudenza;
• Un laboratorio didattico attivato nei Corsi di studi afferenti al Dipartimento di Scienze Giuridiche;
• Un insegnamento previsto dall’Offerta Formativa di Ateneo, non impartito nell’ambito dei corsi di studi afferenti al Collegio di Giurisprudenza: il riconoscimento dei crediti acquisiti sarà subordinato alla preventiva presentazione di coerenti programmi formativi valutati dalla Commissione istruttoria per la didattica e approvati dal Collegio didattico.
• Attività formative organizzate dai singoli docenti del Collegio di Giurisprudenza o del Dipartimento di Scienze Giuridiche: previa approvazione del Collegio ad esse verrà attribuito, dopo un’apposita verifica, un credito per ogni 6 ore di frequenza obbligatoria;
• Attività formative che implicano la partecipazione a convegni o seminari organizzati sotto il “logo” del Dipartimento di Scienze Giuridiche o dell’Ateneo: devono essere preventivamente approvate dal Collegio di Giurisprudenza indicando un docente di riferimento del Collegio di Giurisprudenza ovvero del Dipartimento di Scienze Giuridiche. Un credito per ogni giornata di convegno o di seminario si acquisisce dopo apposita verifica che dimostri l’avvenuta fruizione culturale del tema del convegno o del seminario.
Le attività che consentono l’acquisizione dei crediti riservati alle ulteriori attività formative (TAF F) sono le seguenti:
• Informatica (3 cfu)
• Stage;
• Un laboratorio didattico attivato nei Corsi di studi afferenti al Collegio di Giurisprudenza;
• Un laboratorio didattico attivato nei Corsi di studi afferenti al Dipartimento di Scienze Giuridiche.

Internships
Internships are aimed at enabling students to gain direct knowledge of the world of work and to acquire specific professional skills.
Internships are carried out under the responsibility of an individual lecturer, and can be carried out in professional firms, public administration bodies and companies recognised by the University of Verona.
Any CFU credits gained by doing internships will be recognised and recorded by the University in accordance with the relevant University regulations in force (Regolamento d’Ateneo per il riconoscimento dei crediti maturati negli stage universitari).
