Learning objectives
The expected learning outcomes of this course are, in terms of KNOWLEDGE, the basic notions and tools for analysing and understanding the relationship between law and the economy (and its components, such as markets, firms, regulators, etc.). In terms of SKILLS, on the other hand, the course has the objective of transmitting: the ability to apply legal reasoning to the rules and institutions governing the functioning of the economy; the ability to frame and set legal issues regarding both the institutional aspects of the law and the substantive law rules; and the ability to formulate independent judgments on concrete cases.

SUSTAINABLE ECONOMY LAW One of the objectives pursued by the European Union is economic growth that safeguards both social and environmental balances. In summary, it is the goal of sustainable development, understood as development that satisfies the needs of the present without compromising the ability of future generations to satisfy their own. The Union's action combines regulatory reform interventions, recourse to recommendations and guidelines, the provision of public resources and services, financial instruments and certifications to attract private capital to support public ones. This course will deal with some of the most important regulatory interventions aimed at large companies (from a sustainable economy perspective) or financial market operators (from a sustainable finance perspective). The effort in both cases is to integrate environmental, social and governance objectives (environmental, social and governance, included under the abbreviation ESG) in the decisions of economic operators, who direct their resources towards profitable activities and, together, environmentally friendly and socially useful. Among the main regulations that will be analyzed are: - The directive on non-financial reporting (Directive 2014/95/EU, Non-Financial Reporting Directive, implemented in Italy with Legislative Decree no. 254/2016, is the first act legislation to highlight ESG factors - Directive 2022/2464 on corporate sustainability reporting - EU regulation 2019/2088 (Sustainable Financial Disclosure Regulation, SFDR) which dictates harmonized standards to improve the quality of information and the comparability between products finances in terms of sustainability.

Didactic methods
The course lasts 36 hours and will take place with the support of previously indicated slides and study materials (e.g. European Union legislation and jurisprudence). Students will be invited to participate in the discussion on the various topics introduced and explained by the teacher, in particular through classroom presentations of homework.
Learning assessment procedures
The exam has the aim of verifying the level of achievement of the training objectives indicated above. The exam will take place in written form (60 minutes) and will consist of three questions.
Evaluation criteria
For attending students, the final grade will be awarded on the basis of the following three criteria. 1) in answering the aforementioned questions, the ability to demonstrate: a) knowledge of the relevant legislation and jurisprudence and of the relative doctrinal analysis; b) effective understanding of the notions, general principles and above all the underlying 'logic' of the subject learned during the lessons and from the study of texts (e.g., which objectives are pursued by the legislator, which public interests are at stake, what are the basic general legal principles, what is the role of the various institutional actors, what are the macro-changes that have taken place in the legal framework). 2) in answering the aforementioned questions, the use of the correct legal terminology. 3) the degree of student participation in the discussions held during the lessons. Non-attending students will be assessed on the basis of two criteria: 1) the ability to demonstrate: a) knowledge of the relevant legislation and jurisprudence and the related doctrinal analysis; b) effective understanding of the notions, general principles and underlying 'logic' of the matter learned from the study of the texts (e.g., which objectives are pursued by the legislator, which public interests are at stake, which are the juridical principles general background, what is the role of the various institutional actors, what are the macro-changes that have taken place in the legal framework). 2) The use of correct legal terminology.
