Learning objectives

The course aims to provide the participants with the knowledge of juridical vocabulary, of the fundamental basis of private law, that are necessary to properly understand commercial law, and of the main aspects of company and commercial law. The goal is to provide the juridical knowledges that are essential to be able to work in companies, also in tourism field. During the course, particular attention will be paid to reading and examining the Civil Code and to learning how to interpret laws. At the end of the course, students shall have acquired adequate awareness of the fundamental rules governing companies and enterprises as well as of the interests protected by such rules.

- The concept of law: the legal norm. The sources of law and the interpretation of the law.
- Persons.
- Ownership and possession (notes).
- The sources of obligation; the unlawful act.
- The fulfillment and non-fulfillment of the obligation.
- The contract: elements and conclusion.
- Contract: validity and invalidity. Termination. Effectiveness and ineffectiveness. Effects of the contract.
- Representation.
- Prescription and forfeiture.
- The concept of entrepreneur. The small business owner. The agricultural and commercial entrepreneur.
- The business and its transfer.
- The concept of company; partnerships and corporations.
- The simple partnership: administration and relationships with third parties.
- The simple partnership: relationships between partners.
- The general partnership.
- The limited partnership.
- Joint-stock companies: structure and administrative and supervisory bodies
- Limited liability companies: corporate structure and administrative and supervisory bodies
Lectures aim to convey basic concepts and provide an understanding of the underlying logic behind each institution. To facilitate the identification of the operational implications of the rules studied, case studies and case law will be used frequently.

Didactic methods

The course will be held entirely in Italian, through lectures and discussions, occasionally supported by teaching materials (slides and case studies), and aimed at understanding the legal regulations and subject matter, including through the use of case studies. Reference texts will be accompanied by any additional in-depth materials.

Learning assessment procedures

The exam is written and covers the entire program.

Evaluation criteria

The final grade is expressed out of thirtieths.
