Learning outcomes

The main object of the course is to prepare the students to understand the mechanisms of laws and of business that companies face to enter into cross-border markets and how to draft business agreements to limit or to prevent risks or losses.

Program

The international business is essentially based on both business contracts and the setting up of new entities in cross-border markets.
The good outcome of international business depends on several factors, for example, the knowledge of the foreign market and of the law.
The course will allow the students to understand how to draft business contracts with the main focus on preventing / limiting litigations in a cross-border context.
Through such perspective, the course will deepen some kinds of contracts that companies use to enter into foreign markets (e.g. sales contract, distribution agreement, know-how licensing agreement, consignment stock) and other contracts (e.g. confidentially agreement, guarantees), that are essential to prevent or to limit compensations or losses.
From the cross-border perspective, the course will analyze the possibility for companies to set up new entities in a market different from their domestic one.
Therefore, the Freedom of Establishment will be studied in depth as well as the main directives and regulations that apply the Freedom of Establishment, and Judgments of the European Court of Justice.
The course will then face the main systems of companies’ governance, particularly the Italian system as well as the German, British, and US systems.
Students will be active part of lessons and of the course itself. Projects will be assigned to students who will examine and present the project by using slides. A written report will be needed as well.
During the course, students will have the chance to attend to in-class symposiums held by the Director of the Vicenza Business Register, by entrepreneurs of international companies, by foreign Lectures, and by some ex-students who are now supervisors in multinational companies

Examination Methods

Didactical material will be made available during the course on the e-learning platform
The written report made by the students will be considered part of the final exam and published on the above-mentioned platform.
The exam will be divided into two stages: the first stage will be a written test (based on discussing questions of given subjects), and the second stage will be an oral test.

The curriculum of the three-year degree courses (CdL) and master's degree courses (CdLM) in the economics area includes an internship as a compulsory training activity.
