IUS/04 - BUSINESS LAW

Learning outcomes

The course focuses on Business Law referring to:
- enterprise law, including basic information on trademarks and brands and unfair competition;
- basic background on debt securities, such as shares and bonds;
- company law, in relation to partnerships, limited liability companies and cooperatives.
A case-by-case analysis is included.
Finally, students are supposed to show:
- full understanding of business law regulatory framework;
- full awareness of Corporate law main items;
- how to consciously and correctly use both the specialist legal language, and legal reasoning method.

Program

Business law, Company law and law of partnerships and corporations.
In particular:
The concept of entrepreneur; different categories of entrepreneurs.
Business and business transfer.
Unlimited and limited partnerships.
Corporations: incorporation, corporate governance, audit, balance sheet.
Limited liability companies.
For V.O. students ( 9 CFU): add Cooperative societies and groups of societies ( lessons XXII and XXXVI in the book below) .

Written exam- multiple choise quiz. Further information will be available according to University resolutions on pandemic.
No differences between attending and non-attending strudents
Midterm test is schedulated on voluntary basis: a short oral test ( via zoom) with 0-5 points to be added to final exam vote
