Academic calendar
The academic calendar shows the deadlines and scheduled events that are relevant to students, teaching and technical-administrative staff of the University. Public holidays and University closures are also indicated. The academic year normally begins on 1 October each year and ends on 30 September of the following year.

Learning objectives
The course focuses on Business Law referring to:
- enterprise law, including basic information on trademarks and brands and unfair competition;
- basic background on debt securities, such as shares and bonds;
- company law, in relation to partnerships, limited liability companies and cooperatives.
A case-by-case analysis is included.
Finally, students are supposed to show:
- full understanding of business law regulatory framework;
- full awareness of Corporate law main items;
- how to consciously and correctly use both the specialist legal language, and legal reasoning method.
Prerequisites and basic notions
Basic civil law
Program
Business law and company, personal and capital law. In particular: - The concept of entrepreneur. The small business owner. Agricultural and commercial entrepreneur. - The company and its transfer. - Unfair competition - The concept of society; partnerships and corporations. - The simple partnership: administration and relations with third parties. - The simple partnership: relations between partners. - The general partnership. - The limited partnership. - The joint stock company. Notion. Constitution. - The financial structure of the joint-stock company: shares and financial instruments - The corporate bodies: assembly, directors, board of statutory auditors. - Auditing. - Alternative models of corporate governance: dualistic system, one-tier system. - The financial statements: drafting, approval, profits, dividend. - Amendments to the deed of incorporation. - The dissolution of the limited company. - The limited liability company. - The limited partnership by shares. Face-to-face lessons (and recorded)
Learning assessment procedures
Written exam with 16 multiple choice quizzes. 3 open questions. Duration 45 min. Consultation of regulatory texts is not permitted. There are no differences between attending and non-attending students. Intermediate written test on the I module
Evaluation criteria
Knowledge of the topics in the program will be assessed; mastery of legal language will also be assessed during the optional oral exam
Criteria for the composition of the final grade
There are no penalties for incorrect or omitted answers; 1 point for each correct answer; from 0 to 5 points in the answer to the open questions.

CONTAMINATION LAB
The Contamination Lab Verona (CLab Verona) is an experiential course with modules on innovation and enterprise culture that offers the opportunity to work in teams with students from all areas to solve challenges set by companies and organisations.
Upon completion of a CLab, students will be entitled to receive 6 CFU (D- or F-type credits).

PLEASE NOTE: In order to be admitted to any teaching activities, including those of your choice, you must be enrolled in the academic year in which the activities in question are offered. Students who are about to graduate in the December and April sessions are therefore advised NOT to undertake extracurricular activities in the new academic year in which they are not enrolled, as these graduation sessions are valid for students enrolled in the previous academic year. Therefore, students who undertake an activity in an academic year in which they are not enrolled will not be granted CFU credits.
