Learning outcomes

This course aims at developing participant’s skills in both understanding and analyzing how firms of the contemporary economic contest are controlled and managed, who effectively decides for any economic decisions and which mechanisms drive the sharing of the value created among shareholders.
Governance systems are investigated considering the rules that are part of the structure and the daily operations of firms as well as the processes that both orient strategic choices and control the implementation of the corporate strategy, in the view of value creation, over time, for share- and stake-holders.
The course incentives a strong link between the comprehension of basic knowledge, definitely useful to develop a conscious approach to the study of governance issues from a theoretical point of view, and the student’s capabilities of analyzing and discussing case histories that represent real firm’s situations.

Examination Methods

Lesson’s Method:
The course is articulated in two weekly lessons which will take three hours each. Lessons are based both on traditional methods like frontal explanation of theoretical framework and on participant-centered learning thank to an active discussion in classroom of empirical cases.
Periodically, the teachers will communicate some selected readings, which will be the point of reference for the following lessons.

Description of Assessment Method:
The exam is in written form both for attending and for non-attending students. Students are also allowed to request for an oral exam that is complementary to the written test. During the oral examination, students should be able to discuss correctly the cases analyzed in the course and to show the ability to interpret and solve problematic issues on firm’s governance.
