Learning objectives

The course is intended to provide the student with the knowledge of the fundamental notions of commercial law, namely the right of the company and of the companies in their essential and systematically relevant elements.

At the end of the course, the student will be able to identify the relevant sources, with analysis, comprehension and comparison of the rules, as well as elaborate on legal issues concerning the main topics of the subject, in both oral and written forms. The student will be also able to develop proper reasoning and argumentation, using both an appropriate and specific vocabulary, and a methodology allowing continuous learning and knowledge updating.

During the lectures (48 hours, 8 CFU) the following topics of an institutional nature will be treated: - Business as an organized economic activity. - The collective exercise of the company: a) partnerships b) joint stock companies c) non-corporate collective forms (in particular business networks) d) credit securities (general characteristics) During the laboratory lessons (12 hours, 1 CFU), topics related to: - the business register will be covered; - the business network contract; - issues relating to srl

Didactic methods

The course is divided into - 48 hours (8 CFU) of lectures; - 12 hours (1 CFU) of laboratory in remote modality, organized by developing and deepening, with the intervention of professionals and legal technicians, practical and operational issues. The teaching materials used during the course (in particular for the laboratory part), which integrate the reference manual, will be provided to students through the "Moodle" e-learning platform.

Learning assessment procedures

The test takes place in written form and covers the entire exam program. Erasmus students can choose to take the oral exam: - in Italian, with the same program and exam methods as for Italian students; - in Italian, discussing a written paper (thesis) agreed and delivered in advance with the teacher.

Students with disabilities or specific learning disorders (SLD), who intend to request the adaptation of the exam, must follow the instructions given HERE

Evaluation criteria

The exam is aimed at ascertaining the acquisition of the required knowledge and the ability to analyze. In particular, the test is aimed at verifying: - the depth and breadth of the acquired knowledge; - the property of language; - the ability to systematically link knowledge; - analytical and argumentative ability.

Criteria for the composition of the final grade

The final grade is expressed out of thirty and refers to the oral exam taken as a whole. For Eramus students who choose the thesis, both the written paper and the oral presentation of the same will be evaluated
