Learning objectives

The course aims at providing students with an advanced knowledge of the regulations and the consequences of the most frequent transactions involving companies and shareholders. It will focus on share capital alterations, conversions, mergers and acquisitions, as well as on dissenter’s right.

Prerequisites and basic notions

To take the exam it is necessary to have passed the Commercial Law exam

Introductory remarks: the contractual basis of share capital alterations and M&A.
Share capital alterations: the capital increase by means of a cash contribution and the option right.
The capital increase through contribution in kind.
Share capital alterations: the real reduction and the nominal reduction.
The transfer of shares and the involved clauses.
Extraordinary operations: homogeneous and heterogeneous transformation.
Extraordinary operations: merger.
Extraordinary operations: demerger.
The right of withdrawal.

Didactic methods

During the lessons an interactive approach will be adopted, aiming at deepening the knowledge of regulations of the most important charter amendments and M&A and their operational implications. There will be frequent references to practical cases, which will be discussed during classes. Speeches by professionals are foreseen.

Learning assessment procedures

Oral examination.

Evaluation criteria

Final exam aims at assessing students' knowledge of rules, correct use of language, and ability to solve juridical issues.

Criteria for the composition of the final grade

Final mark will be expressed in thirtieth.
